Title: US M&A and Planning Tax Consultant
Duties:
- Candidate would conduct detailed due diligence on potential M&A projects and provide a detailed written summary of findings. In cases of potential issues, Consultant would first perform tax technical research and then discuss with team as necessary.
- Candidate would review contracts, provide any necessary analyses and updates, and discuss negotiation strategies.
- Candidate would provide a hand-off to the integration team and assist in the integration process, including Opening Balance Sheet, Section 382 calculations, and stub period tax returns.
- Candidate needs to have a broad understanding of US Federal, State and Local, and International tax as well as tax accounting. Consultant needs to be highly tax technical and able to perform complicated US tax technical research.
- Candidate also needs relevant M&A tax experience of at least 5 years and broad US tax experience of at least 10 years. It’s highly preferred for Consultant to have Big 4 accounting firm, Big Law, and/or large multinational company experience.
- Candidate must be able to do hands on work involving planning and dig in to the work to build tax docs, contracts, and structure expense allocations.
